Association

The Vineyard Ridge Owners Association, Inc. is an Iowa nonprofit corporation. Its Articles of Incorporation are filed with the Iowa Secretary of State. The Association's Declaration and Bylaws are filed with the Polk County Recorder.
 
The Association has an elected Board of Directors that may adopt rules, regulations, architectural and/or landscaping standards consistent with the Declaration and Bylaws. These documents are listed below.

General Descriptions
Homeowner Owners Association (HOA) The HOA is a nonprofit corporation formed by a real estate developer for the purpose of developing, managing, and selling property and homes in a residential subdivision. It is subject to state statutes that govern nonprofit corporations and HOAs. As the developer exits, the HOA is transferred to the homeowners. The HOA provides a common basis for preserving, maintaining, and enhancing property.
 
Plat This is the engineering drawing of the property to be built, recorded in the County Recorder's office before any lots or units are sold. Plats help define an owner's title to property. Plats show the precise location of each lot or unit, as well as the common areas, streets, sidewalks, easements and other fixtures and facilities. If changes to a plat are approved, a subsequent plat is recorded. 
 
Declaration of Covenants, Conditions, & Restrictions (Declaration or CC&R) The declaration defines the ownership responsibilities and property agreements of the association and each owner. Each owner is a member of the association. The declaration defines which portions of the property are owned by individual owners and those owned collectively by the association. It creates interlocking relationships (including a lien on each property) for the purpose of property governance, insurance, maintenance, capital improvement, and replacement. It provides for funding of operating expenses and capital reserves through monthly or special assessments. It establishes a framework for operation and management including standards and restrictions.
 
Articles of Incorporation The developer files articles of incorporation. The corporate structure is established when a developer sets it up. HOAs are usually set up as nonprofit corporations.
 
Bylaws A Declaration establishes a set of Bylaws as governing regulations for an HOA. Bylaws define and explain member meetings, elections of Board directors and officers, conducting Board meetings, committees, rules, and regulations. For legal purposes, Bylaws are considered part of the Declaration.
 
Rules and Regulations The Board may establish rules and regulations by passing resolutions. Types of resolutions include: policy, administrative, special, and general resolutions. Board directors vote on Board resolutions.
